1. Definitions
“NovaCove” refers to NovaCove Cybersecurity, a company dedicated to providing cybersecurity services and products to small and medium businesses.
“Services” refers to all cybersecurity services provided by NovaCove, including but not limited to security audits, retained security advisor services, educational content, and security policy development.
“Products” refers to all cybersecurity products provided by NovaCove, including but not limited to Inocula technology and open source security tools.
“User” or “Client” refers to any individual or organization that uses NovaCove’s services, products, or website.
“Personal Data” refers to any information relating to an identified or identifiable natural person.
2. Services and Products
Service Delivery
NovaCove provides cybersecurity services and products as described on our website and in service agreements. While we strive for excellence in all our offerings, all services and products are provided “as is” without warranty of any kind, either express or implied.
Free Security Audits
NovaCove offers a limited number of free security audits each month to eligible small businesses. These audits are subject to availability and eligibility requirements. NovaCove reserves the right to determine eligibility and to modify or discontinue this offering at any time.
Inocula Technology
The Inocula technology is designed to identify sensitive data and potential security vulnerabilities. By using this technology, you acknowledge that:
- It operates by scanning your systems and networks for sensitive data
- It is designed to be non-disruptive, but NovaCove cannot guarantee it will not impact your systems
- You are responsible for backing up your data before deployment
- Results may vary based on your specific environment and configurations
3. Client Responsibilities
When using NovaCove’s services and products, clients:
- Must provide accurate information about their systems and security practices
- Are responsible for implementing recommended security measures
- Must maintain the confidentiality of any credentials provided by NovaCove
- Are responsible for ensuring they have proper authorization to allow NovaCove to access their systems for security assessments
- Must use NovaCove’s services and products in accordance with all applicable laws and regulations
4. Confidentiality and Data Protection
Client Confidentiality
NovaCove treats all client information as confidential and will not disclose any client information to third parties except as required by law or with the client’s explicit permission.
Data Processing
In providing our services, NovaCove may process personal data on behalf of clients. When doing so:
- NovaCove acts as a data processor and the client remains the data controller
- NovaCove will process data only as instructed by the client and as necessary to provide the services
- NovaCove implements appropriate technical and organizational measures to protect data
- Upon termination of services, NovaCove will delete or return all client data as requested
5. Intellectual Property Rights
NovaCove’s Intellectual Property
All content on NovaCove’s website, including text, graphics, logos, and software, is the property of NovaCove and is protected by intellectual property laws. Clients may not reproduce, distribute, or create derivative works without NovaCove’s explicit permission.
Open Source Solutions
NovaCove provides certain solutions as open source software. These solutions are subject to their respective open source licenses, which will be provided with the software.
Client Materials
Clients retain all rights to their own materials and data. By providing materials to NovaCove, clients grant NovaCove a limited license to use those materials solely for the purpose of providing the agreed-upon services.
6. Limitation of Liability
NovaCove’s liability for any claims arising from our services or products is limited to the amount paid by the client for the specific service or product giving rise to the claim. In no event shall NovaCove be liable for any indirect, incidental, special, or consequential damages.
7. Termination
Either party may terminate the service relationship with written notice. Upon termination:
- Client shall pay for all services rendered up to the termination date
- NovaCove shall return or destroy all client confidential information as requested
- Provisions related to confidentiality, intellectual property, and limitation of liability shall survive termination
8. Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions.
9. Changes to Terms
NovaCove reserves the right to modify these terms and conditions at any time. Changes will be effective upon posting to our website. Continued use of our services after such changes constitutes acceptance of the new terms.
